2. Applicable laws and regulations

3. Ethics and professional standards policy
AS&H Clifford chance is committed to the highest ethical and professional standards. These apply to all our people, regardless of role. AS&H Clifford Chance people are required to act professionally and in compliance with relevant laws, regulations and Saudi Bar Association rules.
These ethical and professional standards include:
- acting with integrity, professionalism and fairness
- acting in the best interests of each client, including providing a proper standard of service to our clients
- upholding the rule of law and the proper administration of justice
- behaving in a way that maintains the trust the public has in the provision of legal services
- maintaining our independence
AS&H Clifford Chance has internal policies intended to help its people comply with these standards and with relevant laws and regulations.
4. Anti-corruption statement
AS&H Clifford Chance has a zero-tolerance policy towards bribery and corruption. We are committed to:
- conducting business in a manner that complies with applicable laws and is consistent with the highest ethical standards including, among other things, standards intended to prevent bribery and corruption, and
- using our best endeavours to ensure that those who perform services for and on behalf of AS&H Clifford Chance – including employees, contractors, foreign counsel and agents – are aware of and share our commitment to conducting business ethically.
AS&H Clifford Chance is subject to the anti-corruption laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Anti-Bribery Law (Royal Decree M/36) and relevant provisions under the Saudi Penal Law and other applicable legislation. The Firm has also adopted the UK Bribery Act 2010 and the US Foreign Corrupt Practices Act and the Anti-Bribery and Corruption Policy has been approved by the senior management at the Firm. This policy is based on an assessment of internal and external bribery risks specific to our operations and reflects the core standards that the Firm expects all individuals and entities performing services for or on behalf of the Firm to uphold when acting in that capacity.
AS&H Clifford Chance will not use third parties or intermediaries to engage on its behalf in unethical practices that would be prohibited under any applicable laws, including the laws of the Kingdom of Saudi Arabia such as the Anti-Bribery Law (Royal Decree M/36), which criminalizes bribery of public officials and prohibits facilitation payments and improper advantages in both the public and private sectors. AS&H Clifford Chance expects all third parties and intermediaries it engages—whether operating in Saudi Arabia or elsewhere—to fully comply with these legal standards and to act with integrity and transparency when acting on behalf of or for the benefit of the Firm. Consistent with the expectations of the Oversight and Anti-Corruption Authority (Nazaha), AS&H Clifford Chance is committed to upholding the highest ethical standards and has implemented internal procedures, as outlined in its Anti-Bribery and Corruption Policy, to encourage employees to report violations or concerns without fear of retaliation.

5. Data Privacy
AS&H Clifford Chance is committed to protecting personal data in accordance with the applicable laws and regulations of the Kingdom of Saudi Arabia. As part of our joint venture, we also adhere to a global data protection policy based on EU data protection principles, ensuring a high standard of privacy and security across our operations. 6. Anti-Money Laundering (AML) Policies and Procedures
We are fully committed to complying with all applicable anti-money laundering (AML) obligations under the laws of the Kingdom of Saudi Arabia, including the Anti-Money Laundering Law and its implementing regulations, as overseen by the Ministry of Justice. The Firm's AML policy has been extended to also reflect the highest international standards, including the Financial Action Task Force (FATF) Recommendations and the EU Fifth Money Laundering Directive.
We conduct thorough client due diligence (CDD) on all new clients and relevant associated individuals and entities, and we perform ongoing monitoring of existing client relationships. Where necessary for these purposes, we seek relevant information from third party data suppliers. Where individuals have supplied personal data for this purpose, we will only use it for that purpose and will keep it only as long as the relevant AML and data protection legislation requires.
The Firm also has internal procedures to ensure that any suspicions of money laundering are reported to the appropriate authorities where there is an obligation to do so. Lawyers and staff are provided with training on these issues upon joining the Firm as well as through the mandatory annual refresher training sessions.
7. Human rights
AS&H Clifford Chance is committed to upholding and implementing human rights standards in accordance with applicable Saudi laws and regulations.
8. Anti-Trafficking
AS&H Clifford Chance is committed to upholding the highest standards in preventing all forms of slavery, forced labor, and human trafficking in its business or in its supply chains, in full compliance with applicable Saudi laws. This includes adherence to the Anti-Trafficking in Persons Law (Royal Decree No. M/40 dated 21/7/1430H).
